BOARD OF DIRECTORS MEETING
February 6th, 2006
UN-APPROVED MINUTES

Call to Order:

Upon proper notice, the first meeting of the Gentry Park Home Owners Board (the Board) was held on February 6th, 2006

Attendance:

The following board members, being a majority of the Board and meeting the requirements of quorum set forth in the bylaws, were in attendance:

Al Kiczula
Joseph Doerhoff
Patty Kenny
Ron Seals
Steven Gongage

The following parties were also in attendance:

Jim Boyle, Gentry Park Property Manager, Boyle Management Services

Old Business:

Determine length of term limits
- It was proposed by Jim Boyle that we determine the term limits of the positions held by each member of the board. As determined by random lot (coin toss odd man/woman out) and duly seconded and unanimously carried, the following term limits were applied to the positions held by all officers of the board.
o   1 Year   Steven Gongage
o   2 Years  Patty Kenny, Ron Seals, Joseph Doerhoff
o   3 Years  Al Kiczula

Election of Officers
- It was then determined that the officers of the Board be elected. As proposed, seconded and unanimously carried, the following officers were elected.
o    President - Joseph Doerhoff
o    Vice President - Ron Seals
o    Treasurer - Patty Kenny
o    Secretary - Steven Gongage
o    Director - Al Kiczula

Bank Resolution
- A document entitled 'The Bank Resolution' was presented to the Secretary to be signed by Jim Boyle. These documents were signed and given back to Mr. Boyle.

Resolution Collection Policy
- A motion was made and seconded and unanimously carried that the last sentence of part 5 of the Resolution Collection Policy be changed so that the word with be changed to without. Thus, part 5 now should read:

If full payment is not received by the date on the Notice of Intent to File Lien, the Association will bring an action against the Owner. The Board authorizes the Manager to send the Owner's file to the association attorney to file a lien and send a demand letter without further board notice.

New Property Manager
- It was disclosed by Mr. Boyle at this time that he has hired a new manager for our property. Kim Handy will now be managing the day to day affairs of our property as well as bi-weekly walkthroughs. Mr. Kiczula and Mr. Doerhoff both requested to be advised in advance of her on premises visits so that they can accompany her on the walkthroughs to highlight a few issues. Mr. Boyle agreed to this as long as they could keep these visits to an hour or so. Mr. Kiczula agreed.

Violation Stickers - Mr. Boyle passed out stickers to the Board to handle parking violations. These stickers were to be adhered to the windows of vehicles in violation to notify the owners of these vehicles that they had parked improperly.

Additionally, Mr. Doerhoff suggested we visit the website www.munico.com to review the municipal codes that regulated parking in the City of Orlando.

Website
- Mr. Boyle suggested that the board review the software company TopsSoft.com to learn more about their software and how we could use it to offer a medium of communication between the Board and the home owners of Gentry Park. $100 a month was the rate for hosting a site, according to Mr. Boyle.

Adjournment: There being no further business to come before the meeting, upon motion duly made, seconded, and unanimously carried, the meeting was adjourned
